Item 2.02.     Results of Operations and Financial Condition.
On February 21, 2023, Mirion Technologies, Inc. (the "Company") issued a press release providing updated free cash flow guidance for fiscal year 2023. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated herein by reference.
The information contained in this Item 2.02 and Item 9.01 in this Current Report on Form 8-K, including the accompanying Exhibit 99.1 hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filings, unless expressly incorporated by specific reference in such filing.

Item 8.01.     Other Events.
On February 21, 2023, the Company entered into Subscription Agreements (the “Subscription Agreements”) with certain institutional investors providing for the issuance and sale by the Company of 17,142,857 shares of the Company’s Class A common stock, par value $0.0001 per share (the “Shares”), in a registered direct offering (the “Offering”). The Shares were offered at the closing price of $8.75 per share on February 17, 2023. The closing of the Offering is expected to occur on February 23, 2023, subject to customary closing conditions. On February 21, 2023, the Company issued a press release announcing the Offering, a copy of which is attached hereto as Exhibit 99.1 and is incorporated by reference.
The Company will receive gross proceeds from the Offering of approximately $150 million and the net proceeds will be approximately $149.6 million, after deducting offering expenses. The Company intends to use approximately $125 million of the net proceeds to repay outstanding indebtedness and the remainder for general corporate purposes.
The Shares were offered by the Company pursuant to a shelf registration statement on Form S-3 (File No. 333-268445) that was initially filed with the Securities and Exchange Commission (the “SEC”) on November 17, 2022, and was declared effective by the SEC on November 28, 2022. The Shares may be offered only by means of a prospectus, including a prospectus supplement, forming a part of the effective registration statement.
