Item 8.01.     Entry into a Material Definitive Agreement.
On March 2, 2023, Mirion Technologies, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies LLC, as underwriter (the “Underwriter”), and the selling stockholders named therein (the “Selling Stockholders”). Pursuant to the terms of the Underwriting Agreement, the Selling Stockholders sold an aggregate of 9,786,153 shares (the “Shares”) of the Company’s Class A common stock, $0.0001 par value per share, at a price to the public of $8.75 per share. The offering closed on March 7, 2023. The Company did not receive any proceeds from the sale of the Shares by the Selling Stockholders, but will pay the costs associated with the offering, other than underwriting discounts and commissions and certain other expenses.
The Underwriting Agreement contains customary representations, warranties, covenants and indemnification obligations of the Company and the Underwriter, as well as termination and other customary provisions. A copy of the Underwriting Agreement is attached as Exhibit 1.1 hereto and is incorporated herein by reference. The foregoing description of the Underwriting Agreement does not purport to be complete and is qualified in its entirety by reference to such exhibit.
The offering was registered under the Securities Act of 1933, as amended, pursuant to the Company’s shelf registration statement on Form S-3 (File No. 333-268445) filed with the Securities and Exchange Commission (the “SEC”) on November 17, 2022 and declared effective by the SEC on November 28, 2022, including a final prospectus supplement filed on March 6, 2023 and the accompanying base prospectus.
