Item 1.01 Entry into a Material Definitive Agreement.
As previously announced, on June 17, 2021, GS Acquisition Holdings Corp II, a Delaware corporation (the Company or GSAH), announced that it entered into a Business Combination Agreement (the Agreement), dated as of June 17, 2021, by and among the Company, Mirion Technologies (TopCo), Ltd., a Jersey private company limited by shares (Mirion), CCP IX LP No. 1, CCP IX LP No. 2, CCP IX Co-Investment LP and CCP IX Co-Investment No. 2 LP (collectively, the Charterhouse Parties), each acting by their general partner, Charterhouse General Partners (IX) Limited, for the limited purpose set forth therein, each of the other persons set forth on Annex I thereto (together with the Charterhouse Parties, the Supporting Mirion Holders) and the other holders of existing shares of Mirion who become a party thereto by executing a joinder agreement (each, a Joining Seller and, collectively, the Joining Sellers and, together with each Supporting Mirion Holder, each, a Seller and, collectively, the Sellers).
On August 3, 2021, a purported stockholder of the Company sent a letter to the Companys board of directors claiming that the board of directors is improperly denying the Companys Class A common stockholders the right under Delaware law to a separate class vote with respect to the Companys proposal to increase the number of authorized shares of the Companys Class A common stock in connection with the Companys proposed business combination with Mirion. While the Company believes that no such separate class vote is required and that the claims and allegations in the August 3, 2021 letter are without merit, on September 3, 2021, pursuant to Section 13.04 of the Agreement, the Company, Mirion and the Charterhouse Parties, on behalf of the Sellers, entered into Amendment No. 1 to the Business Combination Agreement (the Amendment). The Amendment provides, among other things, that the holders of the Companys Class A common stock shall separately vote on the proposal to increase the number of authorized shares of the Companys Class A common stock (the Class A Vote Proposal). Approval of the Class A Vote Proposal is not a condition to the closing of the transactions contemplated by the Agreement.
